Terms of Service

Draft — not yet reviewed by a lawyer. This document describes how YieldOS actually works today and is published so it can be checked. It is not legal advice. Passages marked like this are decisions that have not been made yet.

1. Who this agreement is between

These terms are between [legal entity name] ("YieldOS", "we") and the business that opens an account ("you", "the shop"). Using the service means accepting them.

2. What the service is

YieldOS is software for running a home-services contracting business: a pricebook, quotes, jobs, scheduling, invoicing and reporting. We provide the software. We do not perform the work you sell, we do not set your prices, and we are not a party to any agreement between you and your customers.

3. Your account

You are responsible for what the people you invite do in your account.
Sign-in credentials are per person. Sharing one login between staff makes the audit trail meaningless and is not permitted.
Tell us promptly if you believe an account has been compromised.

4. Trial, fees, and what happens if you stop paying

New accounts get a 14-day free trial. No card is required to start it.

After the trial, or if a subscription payment fails, there is a 7-day grace period during which the service continues to work normally and we will tell you what is happening.

After the grace period the account becomes read-only. This is the important part, so it is stated plainly:

You keep access to everything already in the account — customers, quotes, invoices, job history, your pricebook. You can read it and export it.
You cannot create or change records until the account is paid up.
Paying restores full access immediately. Nothing is deleted at this point.

Fees are [price and billing interval], charged per shop, in advance. Fees exclude any taxes you may owe on them.

5. Your data is yours

You own everything you put into YieldOS, including your customer records, your pricebook, your costs and your job history ("Customer Data"). We claim no ownership of it.

You grant us only the permission needed to run the service for you: to store it, process it, back it up, display it to the people you have authorised, and transmit it to the third parties listed in the Privacy Policy where a feature you use requires it.

You can export your data at any time, including while your account is read-only. If you close your account we will delete it on request; otherwise it is removed according to the retention periods in the Privacy Policy.

6. What you must not do

Use the service to send messages the recipient has not agreed to receive, or that breach telemarketing or anti-spam law. You are the sender; the obligations are yours.
Upload other people's data you have no right to hold.
Attempt to reach another shop's data, probe the service's security without written permission, or resell access.

7. Features that use AI

YieldOS includes an assistant and several automated analyses. These are useful and they are not authoritative. Specifically:

Figures the assistant reports come from your own records, but its narration around them can be wrong. Check anything you are about to send a customer or act on.
Suggested materials lists, catalogue matches and cost estimates are proposals for a person to review, not decisions.
To provide these features, the content involved is sent to the AI providers named in the Privacy Policy.

8. Sales tax

YieldOS applies the tax rates you configure. It does not determine where you owe tax, does not perform address-level rate lookup, and does not file or remit anything. Confirm your rates with your accountant. Getting this wrong is a liability to a tax authority and it remains yours.

9. Availability

We aim to keep the service running and we monitor it, but this version carries no uptime commitment and no service credits. Saying otherwise would be a promise we have not built the redundancy to keep. Planned maintenance will be announced where we can.

10. Suspension and termination

You may cancel at any time; the account runs to the end of the period you have paid for. We may suspend an account for non-payment as described in section 4, or immediately where use is unlawful or is damaging the service for others. We will tell you why.

11. Warranties

The service is provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limit of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits or lost business. Our total liability arising out of these terms is limited to the fees you paid in the 12 months before the claim.

Nothing here limits liability that cannot be limited by law.

13. Changes

We may change these terms. Material changes will be notified in the app or by email at least 30 days before they take effect, and continuing to use the service after that is acceptance. If you do not accept, you may cancel and we will refund the unused part of any prepaid period.
